Overview
This Cancellation Policy explains how clients and Zendip LLC may cancel or terminate an engagement, and what notice or process applies in each case.
Client-Initiated Cancellation
You may cancel an engagement at any time by sending written notice to support@zendip.org. Refunds (if applicable) are governed by our Refund Policy. Government and third-party filing fees that have already been paid on your behalf are non-recoverable.
Cooling-Off Period
For consulting and documentation engagements with consumers (where applicable consumer protection law requires), a cooling-off period of seven calendar days applies from the date of engagement, during which you may cancel without penalty, except for any work expressly authorized to begin immediately and any non-refundable third-party fees.
Zendip LLC-Initiated Cancellation
We may cancel an engagement (with refund of any unearned fees, less non-refundable third-party costs) for the following reasons:
- Failure of the client to provide required information or KYC documentation within thirty days of engagement.
- Discovery that the engagement involves prohibited business activity (see Compliance Policy).
- Failure to pay fees in accordance with the Scope of Work.
- Material breach of these terms or applicable law by the client.
- Reasonable belief that continuing the engagement would expose Zendip LLC to legal, regulatory, or reputational risk.
Suspension
We may suspend (rather than cancel) an engagement where we require additional information, documentation, or clarification from the client. Suspended engagements resume when the requirement is met, and timelines may shift accordingly.
Effect of Cancellation
Upon cancellation: (a) all work-in-progress is delivered to the client where reasonable; (b) any unearned fees are refunded per the Refund Policy; (c) any owed fees become immediately due; (d) confidentiality obligations continue; and (e) intellectual property rights revert per the Scope of Work.
Subscription / Retainer Cancellation
Monthly retainer engagements may be cancelled by either party with thirty days written notice. Cancellation takes effect at the end of the next billing cycle.
Disputes
If you disagree with a cancellation decision, contact us in writing. We respond to disputes within five business days.
