Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the zendip.org website and the services provided by Zendip LLC ("we", "us", "our"). By accessing the website or engaging our services, you agree to be bound by these Terms. If you do not agree, you must not use the website or our services.
Services
Zendip LLC provides business consulting, formation documentation support, technology services, and trade-related consulting. Specific services are defined in a written Scope of Work agreed between us and the client before any engagement begins.
We are not a government agency, registered tax agent, licensed law firm, bank, or financial institution. Where licensed local professionals are required (such as accountants, lawyers, customs brokers, or registered agents), we coordinate with them on your behalf and disclose this in writing.
Eligibility
You must be at least eighteen years old and have the legal capacity to enter into binding contracts to use our services. By engaging us, you represent that you meet these requirements and that any information you provide is accurate, current, and complete.
Engagement Process
All client engagements proceed as follows: (a) discovery call to scope the work; (b) issuance of a written Scope of Work with deliverables, timelines, and fees; (c) KYC verification of the client; (d) signature of the engagement agreement; (e) payment of agreed deposit; (f) execution of the work; and (g) documented handover and close-out.
No work begins until KYC is complete, the engagement is signed, and any required deposit is paid.
Fees & Payment
All fees are quoted in US Dollars unless otherwise stated. Starting prices published on our website are indicative; final fees are confirmed in the Scope of Work after the discovery call.
Government filing fees, registered agent fees, third-party platform fees, and disbursements are billed separately at cost or directly to the client by the relevant provider.
Payment terms are defined in each Scope of Work. Standard terms require a deposit before work begins, with the balance due on milestone delivery or completion.
Refunds & Cancellation
Refunds and cancellations are governed by our Refund Policy and Cancellation Policy, which form part of these Terms.
Client Responsibilities
You agree to: provide accurate, complete, and timely information; complete KYC verification before engagement begins; pay all agreed fees on time; comply with all applicable laws in your jurisdiction; and cooperate reasonably with us throughout the engagement.
Failure to meet these responsibilities may delay deliverables or, in serious cases, lead to termination of the engagement without refund of work completed.
Intellectual Property
All content on the zendip.org website, including text, graphics, logos, and software, is the property of Zendip LLC or its licensors and is protected by intellectual property laws.
Deliverables produced under a Scope of Work are licensed or transferred to the client per the terms of that Scope of Work. Methodologies, templates, and frameworks remain the property of Zendip LLC.
Confidentiality
We treat client information as confidential and disclose it only as required to deliver the engagement, comply with law, or with explicit client consent. Clients agree to treat our methodologies, templates, and pricing as confidential.
Limitation of Liability
To the maximum extent permitted by law, Zendip LLC is not liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the website or services.
Our total aggregate liability for any claim arising out of or related to an engagement is limited to the fees paid by the client to Zendip LLC for that specific engagement during the twelve months preceding the claim.
We do not warrant or guarantee specific outcomes, including (without limitation) government approvals, banking approvals, payment-processor readiness, marketplace approvals, sales results, or revenue.
Indemnification
You agree to indemnify and hold Zendip LLC, its directors, employees, and agents harmless from any claim, liability, damage, or expense arising out of: (a) your breach of these Terms; (b) inaccurate or incomplete information you provided; or (c) your violation of any applicable law.
Termination
Either party may terminate an engagement under the conditions specified in the Cancellation Policy. We reserve the right to suspend or terminate access to the website or services for breach of these Terms.
Governing Law
These Terms are governed by the laws of Bangladesh. Any dispute is subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh, except where mandatory consumer protection laws of your jurisdiction apply.
Changes to Terms
We may update these Terms from time to time. The "last updated" date reflects the most recent revision. Continued use of the website after updates constitutes acceptance of the revised Terms.
